1. License Grant #
Subject to your compliance with this Agreement, the /terms, and applicable law, FutrixData grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the FutrixData desktop software.
This license covers object-code versions of the software and official updates only. It does not transfer ownership of source code, trademarks, or other intellectual property rights.
FutrixData is currently operated as an individual developer project and is not yet incorporated as a company. In this Agreement, references to FutrixData, "we", "us", or "our" mean the individual developer operating the software, who can be reached at wangqianqianjun@gmail.com.
2. License Scope #
- You may install and use FutrixData on devices that you own or control, subject to your plan, license, and device-count limits.
- If you use the software on behalf of an organization, it may be used only for that organization’s internal business purposes unless FutrixData agrees otherwise in writing.
- Trial, free, beta, preview, or evaluation versions may include additional limits and may be changed or discontinued at any time.
3. Accounts, Authorization, and Device Binding #
Some features require sign-in through futrixdata.com and linkage to a license. The desktop app exchanges device ID, device name, platform, refresh-token data, and license status with the website so sign-in, device lists, and subscription state can function.
You are responsible for use of the software through your account and devices.
4. Restrictions #
- Do not copy, sell, rent, lease, sublicense, distribute, or publicly provide the software unless FutrixData expressly permits it in writing.
- Do not bypass licensing checks, device limits, risk controls, access controls, or other technical protection measures.
- Do not decompile, disassemble, reverse engineer, or try to derive source code from the software except where mandatory law expressly allows it.
- Do not use the software for unlawful, infringing, fraudulent, abusive, or destructive activity.
5. Your Data and Third-Party Services #
FutrixData is designed to keep database credentials and much of your runtime data on your local device, but the software still sends the data needed for sign-in, authorization, licensing, and device management to futrixdata.com.
If you configure third-party AI providers, search services, or other external services, prompts, context, knowledge-base summary content, embedding requests, or search queries may be sent to the third-party endpoints you choose.
You are responsible for confirming that you have the right to process and send that data.
6. Local Storage and Security #
The software stores tokens, AI settings, query history, logs, crash reports, and knowledge-base files on your device. You are responsible for protecting device access, disk security, backups, and your local environment.
If you export logs, share diagnostic bundles, or store local data in an uncontrolled environment, you bear the resulting risk.
7. Updates and Support #
FutrixData may provide patches, upgrades, compatibility fixes, or feature changes. Some updates may be required for security or compatibility reasons.
We are not obligated to continue supporting any particular version or provide any specific support level unless we separately agree to do so in writing.
8. Intellectual Property #
The software, documentation, interfaces, branding, and related intellectual property are owned by FutrixData or its licensors.
Except for the limited rights expressly granted in this Agreement, all rights are reserved.
9. Disclaimer of Warranties #
To the maximum extent permitted by law, the software is provided “as is” and “as available” without warranties of any kind, express or implied.
FutrixData does not guarantee that the software is error-free, continuously available, fit for a particular purpose, or sufficient for your specific security, compliance, performance, or procurement requirements.
10. Limitation of Liability #
To the maximum extent permitted by law, FutrixData will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, lost goodwill, or substitute-service costs.
If the law does not allow a full exclusion, FutrixData’s aggregate liability arising out of this Agreement will not exceed the amount you paid FutrixData for the relevant FutrixData products in the previous 12 months; if you paid nothing, the cap is USD 100.
11. Termination #
If you violate this Agreement, FutrixData may suspend or terminate your license, account, or access to some or all features.
After termination, you must stop using the software and delete copies in your possession, except where retention is required by law.
12. Export and Compliance #
You agree to comply with applicable export controls, sanctions laws, privacy laws, and sector-specific regulations. You may not use the software in violation of those requirements.
13. Updates to This Agreement #
We may update this Agreement and post the new version on the website. The updated agreement will show a new last-updated date. If you continue to download, install, or use the software after the update becomes effective, you accept the revised version.
